Studio Terms of Engagement
1. Scope of Work
Services are defined in project documentation provided by Verb Co Pty Ltd.
Changes require written agreement and may incur additional costs.
The studio retains creative control over final execution.
2. Intellectual Property
All concepts remain the property of the studio unless otherwise agreed.
The client receives a non-transferable license to use deliverables for the specified purpose.
3. Confidentiality
Both parties must protect proprietary information shared during the project.
4. Payment Terms
A 50% deposit is required to commence.
Milestone payments apply as per the proposal.
Full payment is due on completion.
Late payments incur a $75/week fee.
Payments via bank transfer.
5. Cancellation
Cancellation before commencement results in deposit forfeiture.
Cancellations after commencement incur fees for work completed.
Refunds are processed within 21 days.
6. Liability
Studio liability is limited to the total project fee paid.
The client is responsible for final approval.
7. Force Majeure
Neither party is liable for delays caused by circumstances beyond reasonable control.
8. Amendments
All variations to scope or timeline require written confirmation.
9. Governing Law
Governed by the laws of New South Wales.
10. Client Responsibilities
The client must provide necessary approvals and materials promptly.
Delays may impact timelines and costs.
11. Dispute Resolution
Disputes require mediation within 21 days of notice before court proceedings.
12. Third-Party Rights
The studio is not liable for third-party claims related to the project deliverables.
